Adam Anderson is an attorney in our Business Section, where he focuses his practice on mergers and acquisitions, corporate, venture capital, and finance. Representative transactions in which he has served as counsel include a wide range of merger and acquisition transactions, such as acquisitions and dispositions of public and private companies in the media, and technology and financial services industries. A significant portion of Mr. Anderson's practice involves general corporate work for ongoing clients, including start-up and emerging growth companies.
Prior to joining Robinson & Cole, Mr. Anderson was associated with the law firm of Debevoise & Plimpton LLP, where his practice focused on mergers and acquisitions. He served as a legal intern to the Honorable Lawrence McKenna of the United States District Court, Southern District of New York.

- Representation of The Nielsen Company (U.S.) LLC - a global information and measurement company with leading market positions in marketing and consumer information, media measurement, online intelligence, mobile measurement and trade shows - in more than 10 investment, merger and acquisition, and tax restructuring matters.
- Representation of a New York county in all aspects, including corporate, environmental, real estate, and administrative law, of its renegotiation of a long-term agreement for the disposal of solid waste and operation of a waste-to-energy facility, with several ancillary agreements among the county, the facility operator, and the municipality in which the facility is located concerning the transfer of ownership of such facility from a county agency to the operator of the waste-to-energy facility.
- Representation of an aerospace and defense company concerning its acquisition of NEA Electronics, Inc., in a stock purchase transaction. NEA designs, develops, and manufactures highly reliable nonexplosive separation mechanisms, battery cell bypass switches, electrical interconnect devices, and nonpyrotechnic valves for critical space and defense applications.
- Representation of an aerospace and defense manufacturer in acquisition through reverse triangular merger of a company in the laboratory services industry.
- Represented Ensign-Bickford Industries, Inc., in its acquisition of DanChem Technologies, Inc., a custom manufacturer of fine and specialty chemical products. The seller, American Capital, Ltd., is a publicly traded private equity firm and global asset manager.
- Represented Sensor Switch, Inc., a lighting controls company, and its sole shareholder in connection with the sale of all of the stock of Sensor Switch to Acuity Brands, Inc., a NYSE-listed company, and its subsidiary, Acuity Brands Lighting, Inc., for approximately $205 million in cash and stock.
- Representation of a construction materials company concerning the sale of its asphalt paving and construction contracting business in Michigan and Indiana.
- Represented international media company in connection with corporate and tax restructurings.
- Represented a manufacturer of mushroom- and soy-based meat alternative products in the sale of its veggie burger business.
