Akiyo Fujii has more than 20 years of broad experience in representing corporate clients in many different industries, often in international settings. She has advised clients in connection with a wide range of corporate, securities and financing transactions, including mergers and acquisitions, leveraged buyouts, joint ventures, secured and unsecured financings and venture capital investments. Ms. Fujii also represents start-ups and private companies, especially in the high-tech, medical devices and life sciences industries, and advises those clients on their legal, strategic and emerging company needs. In addition to helping start-ups, she advises closely-held companies in connection with succession issues. She acts as outside general corporate counsel to a variety of corporations.
Ms. Fujii also has extensive experience in representing non-profit entities including various schools and colleges. She has formed and counseled many charitable entities and has advised them in material transactions, such as mergers and for-profit conversions. She is well-versed in non-profit corporate governance issues in the wake of Sarbanes-Oxley.

· Counseled a family business in connection with a $90 million loan.
· Negotiated a joint venture agreement for a US life sciences company with a French collaborator.
· Represented a landlord in connection with a $190 million Construction loan.
· Advised medical devices companies in connection with MA marketing code of conduct.
· Guided an insurance company in connection with its reorganization.
· Represented a renewable energy company in connection with its re-sale registration statement on Form SB-2.
· Negotiated a $15 million acquisition of a Canadian company.
· Represented an HMO in connection with a $10 million acquisition of a third party administration company.
· Represented the founders in a $215 million sale of a software company.
· Negotiated a leveraged buyout of a laser manufacturing company by its employees.
· Advised a start-up medical testing company in connection with its Series A issuance.
· Judged a business plan competition at the University of Rochester.
