| Biography | Alexander Buchanan is senior counsel with Waller Lansden. He has extensive experience in the areas of bond transactions, loan transactions, mergers and acquisitions, private placements of equity and debt securities, and healthcare transactions. Mr. Buchanan is recognized in the 2008, 2009, 2010 and 2011 editions of The Best Lawyers in America (Woodward White, Inc.). Mr. Buchanan has been engaged in all facets as bond counsel and underwriters counsel in numerous public purpose bond transactions for municipalities and public/private partnerships as well as in a variety of exempt facility financings. Mr. Buchanan also has participated in numerous transactions involving 501(c)(3) entities and has represented lenders and borrowers with respect to their swap transactions. In 2010, he served as Co-Bond Counsel for the $212,440,000 Tennessee State School Bond Authority Qualified School Construction Bonds, Series 2010 (Federally Taxable-Direct Subsidy Payment) and the $200,000,000 Mississippi Business Finance Corporation's Gulf Opportunity Zone Industrial Development Revenue Bond (Southeast Supply Header, LLC Project) Series 2010. Representative of other types of financings in which Mr. Buchanan has participated as bond counsel is the $7,200,000 City of Cookeville, Tennessee, General Obligation Industrial And Business Park Bonds, Series 2010B (Taxable - Build America Bonds). Also, within the last year, Mr. Buchanan has served as Underwriters Counsel in connection with the $29,725,000 Waterworks Revenue Improvement Bonds, Series 2009 of the South Blount County Utility District and the State of Tennessee's $291,500,000 General Obligation Bonds, 2009 Series A. Mr. Buchanan has been active as both lenders' counsel and borrowers' counsel in a wide variety of loan transactions ranging from asset-based lending to structured finance transactions in connection with leverage buyout fund representation. He has extensive experience in senior, mezzanine and subordinate debt financing. Mr. Buchanan has developed and presented several seminars on financing issues and the laws governing public finance transactions, including "Recent Developments in Municipal Finance," "Law Developments," and "Recent Law Developments." Mr. Buchanan has written extensively on public finance and other issues. Mr. Buchanan co-authored "Tax Court Decision Creates Tax-Free Bond Opportunity for Financial Institutions" in the January 2008 edition of Tax Strategies. His article "Retail Swaps: Does The Line of Business Exception Provide Protection?" was published in the Oct. 1, 2007 edition of Derivatives Week. In addition, Mr. Buchanan authored "Developments in Litigation and Enforcement Proceedings under State Securities Laws," which was published in 41 Business Law 1525; "Dealing with Municipal Swap Risks," 26 Municipal Finance Journal (Number 3) 35; and co-authored "Federal Mortgage Insurance for Acute Care Hospitals," HealthLeaders (Feb. 22, 2006).
