We practice local and international law and represent many Papua New Guinean, foreign and multinational companies on their investments and business interests, both in PNG and overseas. Our lawyers from PNG and Australia have extensive local and international experience and Chambers Global 2006 rated us as a leading firm in the country.
Recent projects include:
- representing a major party in the FEED stage of the PNG Gas Project including advising on arrangements with project sponsors, preparing gas sales and transportation agreements, advising on financing, assisting with regulatory approvals and advising on community landowner issues;
- acted for ABN AMRO Australia, Credit Agricole Indosuez, and SG Australia in refinancing an exploration and development loan facility for Oil Search Limited. The refinancing consisted of a US$200m five-year term loan and a US$100m four-year revolver provided to Oil Search Limited;
- advising Shell in relation to the restructure of its PNG operations as a result of the sale and lease-back of its retail and distribution assets to InterOil Limited;
- advising the Commonwealth Bank of Australia with a US$15 million facility to PNG Government-owned Eda Oil Limited to fund its operational requirements in the PNG oilfields;
- acted for Fiji TV in the acquisition of EM-TV, the sole free-to-air television broadcaster in PNG;
- advising in connection with the current litigation brought by the landowners in the US courts in connection with Rio Tinto's involvement with the Panguna Mine in Bougainville;
- advising Bougainville Copper Limited in relation to a proposed scheme of arrangement to effect a selective capital reduction to reduce its number of shareholders;
- advised on the mergers of Oil Search Limited and Orogen Minerals Limited, Nuigini Mining Limited and Lihir Gold Limited, and Highlands Gold and Placer Dome Inc (Canada);
- advising on the major restructure of PNG's largest company, Ok Tedi Mining Limited, upon the departure of BHP Billiton Limited as a shareholder; and
- acting for the Independent Public Business Corporation, on the proposed sale of Air Niugini, PNG Telikom and Post PNG.
