Ms. King Condaras' primary areas of practice are public finance, commercial lending, private equity and general corporate matters. Ms. King Condaras is the co-chair of the Banking and Finance Practice Group.
Representative Experience
· Serving as bond counsel, underwriter's counsel and corporate counsel in tax-exempt healthcare financings
· Drafting trust indentures, bond indentures, loan agreements, lease agreements and related documents in tax-exempt financings
· Representing agents and lenders in secured and unsecured, syndicated and single-bank financings, including acquisition and leveraged financings
· Representing secured lenders in troubled loan workouts and restructurings
· Preparing and negotiating commercial loan documentation and performing due diligence investigations in connection with financial transactions
· Representing investors in equity investments and venture capital transactions and preparing and negotiating investment agreements and other documents in connection with such transactions
· Representing businesses in various business transactions including formation, acquisitions and dissolutions
· Advising clients, drafting and negotiating transactional documents, and performing due diligence investigations in mergers, stock and asset acquisitions and dispositions in health care and other industries
· Drafting corporate bylaws, minutes and resolutions, and otherwise advising clients regarding governance issues in corporations and other entities
· Advising clients regarding post-issuance tax compliance matters for nonprofit healthcare institutions and other 501(c)(3) organizations
