Andy is a member of the Firm and practices in the Financial Services, Securities Law and Business Law Groups. His practice is split between corporate and securities matters and financial institution regulatory matters, and he serves as general outside counsel to a wide variety of clients, including bank holding companies, depository institutions and their affiliates, finance companies, investment advisers, insurance professionals, an international software reseller and a national retail bakery.
In his corporate and securities practice, Andy assists clients with their compliance and reporting obligations under the federal and state securities laws and stock exchange rules; with their private and public offerings of debt and equity securities; with investigations conducted by federal and state securities regulators; with mergers, acquisitions, divestitures and corporate restructurings; and with compliance under state corporate laws. He also regularly counsels boards of directors and their audit, compensation and other committees regarding their fiduciary duties and their independence and other obligations under the federal securities laws, including the Sarbanes-Oxley Act and the Dodd-Frank Wall Street Reform and Consumer Protection Act.
Andy's financial institution practice focuses primarily on helping regulated institutions comply with the myriad federal and state laws and regulations that govern their operations. These matters include the formation of bank holding companies; elections to become a financial holding company; the formation of operating subsidiaries and other affiliates; participation in the U.S. Treasury's Troubled Asset Relief Program; the negotiation of operations contracts by depository institutions, including securities and insurance networking agreements; investigations and proceedings by regulatory authorities, including proceedings relating to memoranda of understanding, cease and desist orders, the imposition of civil money penalties, and the appeal of examination findings; and a wide array of regulatory applications, including applications relating to mergers, branch sales and acquisitions, lender and insurance licenses, the formation of affiliates, and expanded financial activities.
