Andy has spent his entire legal career at this Firm representing numerous financial institutions in the negotiation, documentation and closing of senior credit facilities to their customers. During the past 30 years, he has represented at least 10 different banks and commercial finance companies in structuring and closing loans to customers in the radio, television, cable television, billboard, publishing and related media industries. In addition to traditional secured loan transactions, Andy has experience in non-traditional areas of finance including consignments of gold and other precious metals to manufacturers.
Andy's clients also include banks and other financial institutions seeking to engage in consumer lending within Rhode Island. He counsels clients in areas of state consumer licensing laws, truth-in-lending and other consumer credit compliance issues and forms development. His experience in the area of secured lending resulted in his serving on a special legislative advisory committee which was instrumental in the drafting and enactment on schedule in Rhode Island of Revised Article 9 of the Uniform Commercial Code. Andy is listed in the Banking Law, Financial Institutions and Transactions Law and Financial Institutions Law section of The Best Lawyers in America, and is recognized by Chambers USA for his practice in the area of "Corporate/Commercial: Banking & Finance." He is also included in the 2007-2010 Rhode Island Super Lawyers listings by Thomson & Reuters.
Notable Experience
· Represented the administrative agent and senior lender in closing various credit facilities to several radio and television broadcaster companies throughout the U.S., in connection with their customers' efforts to acquire and build multi-state broadcast groups.
· Led a legal team in its representation of the administrative agent and senior lender in closing their first secured loan facilities to a multi-state theater chain.
· Negotiated and closed a bank's successful work-out of a troubled loan made to a radio broadcaster.
· Counseled a non-profit company in its development of forms and lending practices.
· Drafted and negotiated intercreditor agreements between a precious metals consignor and its customers' senior lender.
Recent Speaking Engagements and Publications
Andy has been a frequent speaker and participant on numerous panels in connection with the Rhode Island Bar Association's Continuing Legal Education Program for licensed attorneys. His subjects have included Commercial Loan Documentation, Revised Article 9 of the Uniform Commercial Code and Third-Party Opinion Letters in Business Transactions. He has also taught Business Law at the college level.
