Practice/Industry Group Overview

The Securitization Practice Group of Andrews Kurth has extensive experience representing clients in both domestic and international offerings of asset- and mortgage-backed securities.

Surveys published by The American Lawyer, Asset-Backed Alert and Commercial Mortgage Alert have consistently ranked Andrews Kurth as one of the nation's most active law firms in the representation of issuers and underwriters in securitization transactions, based upon the number and total dollar volume of transactions closed.

Lawyers in the Securitization Practice Group are based in our Dallas, Washington, D.C. and London offices. The Securitization Practice Group also draws upon our nationally recognized tax, real estate, banking, bankruptcy, environmental, corporate finance and project finance practice groups in its approach to novel and complex securitization structures and transactions.


 

Services Available

Representative transactions of the Securitization Practice Group include:

  • mortgage-backed transactions involving the securitization of single family, multifamily and commercial mortgage loans through various structures, including collateralized mortgage obligations ("CMOs"), mortgage pass-throughs, mortgage interest and principal strips, whole loan and loan participation sales, real estate mortgage investment conduits ("REMICs"), credit tenant lease (CTL) financings, and mortgage-backed preferred stock;

  • asset-backed transactions involving the securitization of home equity and property improvement loans, automobile loans and leases, franchise loans, aircraft leases, credit card receivables, collateralized bond obligations ("CBOs"), future flow receivables, equipment leases, consumer receivables, music royalties, cross boarder remittance financings, non performing receivables and other types of financial assets.

  • Interim financing transactions including on- and off-balance sheet warehouse financing transactions and repurchase transactions; and

  • Securitization-related transactions including whole loan sales and sales of other assets or interests, servicing transfers and other servicing-related matters, loan participations, originations, workouts, defeasance and re-securitization transactions.

In addition to issuers and underwriters, the Securitization Practice Group represents master servicers, special servicers, sellers, trustees, collateral agents and institutional purchasers in connection with securitization transactions. The Securitization Practice Group also represented one of the nationally recognized rating agency in its review of various securitizations, particularly those relating to commercial mortgage loans, and certain international structured financing transactions.

Members of the Securitization Practice Group have been closely involved with the development of the first securitization transactions conducted in Chile and Argentina, utilizing new legislation in those countries permitting securitization. The Securitization Practice Group has represented clients in connection with the first CTL financing done in Mexico.

Members of the Securitization Practice Group also advise securitization clients with respect to various federal and state licensing and regulatory compliance matters.
