Andy Chan is a partner in the Business Law Group of Miller Thomson LLP in Toronto and Markham. Mr. Chan's practice involves providing counsel on corporate and commercial matters with a special emphasis on mergers and acquisitions, corporate finance and strategic alliances. His areas of practice include business law, financial services and related corporate and regulatory matters as well as strategic business immigration. Mr. Chan's experience has involved transactions in a variety of sectors including manufacturing, natural resources, healthcare, technology and insurance.
Mr. Chan is also active in government communications, where he advises a diverse range of clients on public policy and compliance issues related to all levels of government. He has counselled clients both domestically and internationally, including foreign entities conducting or seeking to conduct business in Canada and Canadian businesses analyzing their options for access to the global markets.
Having practised exclusively as a corporate and commercial litigator, Mr. Chan is able to leverage his knowledge of the adversarial process to accurately anticipate and respond to even the most sensitive of commercial circumstances. Mr. Chan's experience before all levels of Courts in Ontario, as well as numerous federal and provincial tribunals, allows him to assist clients navigate a variety of strategic challenges in harmony with their overall business objectives.

· Acted as counsel to The Bank of Nova Scotia as administrative agent, J.P. Morgan Chase Bank, N.A. as syndication agent and syndicate of lenders in connection with a $250 million senior revolving commitment with an additional $150 million available through a commitment increase right with Tim Hortons Inc. and the TDL Group Corp. as borrower
· Acted as Canadian counsel to J.P. Morgan-led syndicate of underwriters in connection with $350 million convertible notes issuance by a publicly traded pharmaceutical company in Canada and the United States
· Acted for Chinese investor respecting acquisition of interest of Canadian resource company for $30 million through Singaporean joint venture
· Acted as lender's counsel in connection with approximate $40 million asset-based lending transaction involving manufacturing assets located in Canada and the United States
· Acted as common lenders counsel in connection with a $378 million limited recourse financing of a toll road in Manila, Philippines
· Acted as counsel to a private investment fund in connection with a series of acquisitions and divestitures in furtherance of a specified insolvency strategy
· Acted as counsel to a private software company in connection with a simultaneous licensing and acquisition of assets
· Acted as counsel to a steel manufacturer in connection with the sale of a division to a third-party purchaser
· Acted as counsel to an acceptance corporation in connection with a cross-border reorganization of its business
· Acted as counsel to a publicly traded technology-based travel services provider in connection with its entry into all Canadian Provinces and Territories, including the acquisition of strategic assets
