Anne Gray is a member of Sutherland's Corporate Practice Group, practicing in the areas of securities and corporate governance. Anne regularly advises operating and investment companies on all aspects of the rules and regulations of the U.S. Securities and Exchange Commission (SEC) including disclosure, Rule 144A, the Investment Company Act of 1940 and Regulation FD. She has also represented clients in connection with a variety of corporate transactional matters including initial public offerings, tender offers, rights offerings and other strategic transactions.
Before joining the firm, Anne worked as an attorney adviser for the U.S. Small Business Administration, where she employed creditors' rights, secured transactions and evaluated default loans. She also worked as an associate for a Virginia firm, maintaining a heavy caseload including criminal, corporate, immigration, domestic and other civil litigation cases.

Anne's recent representative experience includes:
· Advising on the $141 million initial public offering of Fifth Street Finance Corp.
· Assisting in the $60 million initial public offering of Main Street Capital Corporation.
· Providing counsel on tender offers, rights offerings and other strategic transactions.
