| Biography | Anthony is a Member in the Corporate & Securities Section. He provides general corporate law and business advice to public and private corporations with regard to financings, mergers and acquisitions, tender offers, corporate governance, public disclosure, and federal and state securities law compliance. Anthony has represented individuals, businesses, venture capital firms, and private investors in corporate financing matters, including the private placement of equity securities, refinancings, and recapitalizations. He has advised clients operating in a variety of industries, including computer hardware and software, medical device, insurance, consumer products, direct sales, Internet access services, and financial services. Anthony regularly advises our nonprofit organization clients with respect to formation and their pursuit of federal tax exempt status, corporate governance, fiduciary duties, executive compensation, charitable solicitation compliance, and charitable and volunteer immunity. He also counsels these organizations with respect to their social enterprise, lobbying and political campaign, and investment management activities. Anthony also counsels our nonprofit organization clients involved in merger transactions, dissolutions, spin-offs and other transfers of charitable assets. Anthony's practice also includes negotiating business arrangements; providing advice to boards of directors and senior management concerning a broad range of matters, including shareholder meetings and proxy contests; and coordinating executive compensation programs and stock-based incentive plans. Before joining the firm, Anthony served as General Counsel to Designs, Inc., a publicly traded apparel retailer. As in-house counsel, he advised senior executives and board members concerning corporate transactions, corporate governance, related party transactions, executive compensation matters, and public disclosure. He regularly advised management concerning the negotiation of business transactions, including secured and unsecured credit facilities, acquisitions and dispositions of assets, the dissolution of a retail joint venture with a major apparel manufacturer, and architect and construction services. In 2011 and 2012, Anthony has been selected by his peers to be included in The Best Lawyers in America for his expertise in non-profit/charities law. He is admitted to practice in Massachusetts. He received his B.A., magna cum laude, from Seattle University (1981). He earned his M.B.A. from Haas Graduate School of Business Administration and his J.D. from Boalt Hall School of Law at the University of California, Berkeley (both in 1985).
