After obtaining his LL.M. degree from Columbia Law School as a Harlan Fiske Stone Scholar he worked at the New York office of Sullivan & Cromwell LLP and later on for the Bulgarian law firm Penkov, Markov and Partners. Mr. Karlov has provided legal advice to foreign investors in Bulgaria such as: EBRD on the contemplated establishment of the largest Bulgarian real estate investment trust and its subsequent listing on the Bulgarian Stock Exchange; Global Finance, Greece, in the acquisition of a minority stake in Euroins Insurance Group; the Astros Group, Russia in the acquisition of land plots and subsequent development of a luxury vacation village on the Black Sea; KHS, Germany, in the establishment of Bulgarian joint venture together with Holding Zagora. As part of the General Practice Group of the New York office of Sullivan & Cromwell he has worked on several cross border transactions, including legal advice on financing and restructuring issues to Dubai Port World in the sale of its wholly owned subsidiaries P&O Ports North America and PORTS Insurance Company, Inc. to Ports America Holdings, Inc., a wholly owned subsidiary of AIG Global Investment Group; legal advice to Ontario Teachers' Pension Plan Board in the $1.9 billion purchase of three marine container terminals in USA and Canada, including Global Terminal and Container Systems, Inc., Bayonne, New Jersey, from Orient Overseas (International Limited) of Hong Kong, etc. He has advised Goldman, Sachs & Co, JP Morgan, Credit Suisse, Bank of America Securities LLC and UBS Investment Bank, as underwriters, in the $500 million USG Corporation Common Stock offering on the New York Stock Exchange Mr. Karlov has also worked as a lawyer and diplomat for the Bulgarian Ministry of Foreign Affairs, including serving as the Bulgarian Acting Consul General in New York in the period 2002-2005. Currently, Mr. Karlov is an assistant professor at the Sofia University St. Kliment Ohrodski where he teaches Contracts at the Law Faculty and General Civil Law at the Business Faculty of the University.
