Professional Experience
Arkan Haile has a diverse corporate practice, focusing on mergers and acquisitions and securities law. He represents publicly-traded and privately-held acquirers and target companies and private equity firms in a variety of acquisitions, divestitures, restructurings, joint ventures, and other corporate matters. He has also represented governmental and 501(c)(3) entities in the issuance of tax-exempt bonds and other debt instruments.
Arkan Haile is also a founding partner of Gray Haile LLP, a minority-owned boutique law firm that focuses on mergers, acquisitions, divestitures, leveraged buyouts, joint ventures, corporate financing transactions, private security placements, and venture capital. Day Pitney has entered into a strategic alliance with Gray Haile.
Representative Matters
· Represented Motiva Enterprises LLC in connection with the sale of several petroleum products terminals
· Representing a developer in its acquisition and negotiation of an ownership interest in the master development entity for the $1.5B Southwest Waterfront Redevelopment Project in Washington, DC
· Represented a start-up company in the oil and gas industry in its organization and financing, in particular, drafted and negotiated its operating agreement and effected Regulation D equity and debt raise
· Represented two high tech companies in the defense industry in their proposed acquisitions by a strategic buyer and private equity firm, respectively
· Represented Open Text Corporation in its acquisition of Artesia Technologies, Inc.
· Represented a sovereign fund in connection with its financial and real estate holdings in U.S., Europe and Mexico, including the issuance of a letter of credit, arrangement of investment management services and securing of loans for its affiliates
· Represented various entities, typically as bond counsel, in the issuance of tax exempt revenue bonds for the benefit of charter schools and universities in Washington, DC and Colorado
· Represented underwriters or issuers, as may be the case, in the issuance of general obligation bonds for the benefit of several metropolitan districts throughout Colorado, and revenue bonds for the construction of a courthouse in Denver and convention center in Buena Park, California
