Biography

Arnold M. Zipper practices in the areas of corporate and securities law, with an emphasis on underwritten public offerings, private placement transactions, mergers and acquisitions, corporate reorganizations, franchising and secured financing transactions. He also advises public company clients in connection with regulatory reporting requirements. He also serves as outside general counsel to emerging clients in a variety of industries including health care, biotechnology, medical device and information technology.

Mr. Zipper also represents buyers and sellers in taxable and nontaxable transactions including asset and stock acquisitions, exchange offers, going private transactions and cross-border transactions. Mr. Zipper represents international clients seeking to establish operations in the United States, with an emphasis on Brazilian and other Latin American clients establishing operations in Florida.

Mr. Zipper's clients have included boards of directors, audit committees, compensation committees and other independent committees relating to SEC compliance and fiduciary obligation matters. He also advises U.S. and international clients in connection with public company reporting requirements. He is a speaker on topics relating to business transactions and corporate governance matters.
