Arthur Cirulnick is a member of the firm's business, corporate finance and securities practices, with an emphasis on mergers and acquisitions and corporate matters. He represents clients in a wide array of industries, that pursue aggressive acquisition programs, with a special concentration in emerging growth companies in the technology, government contracts, e-commerce, and telecommunications fields. Mr. Cirulnick is a member of Venable's Government Contractor Services Group. Mr. Cirulnick counsels clients on their day-to-day and long-term business issues and transactions, including equity formation and planning, equity and debt financing from venture capitalists, commercial lenders and private investors, key employee incentive compensation arrangements, acquisitions and sales of assets and lines of business, and joint ventures and teaming arrangements. Mr. Cirulnick has served as principal outside counsel to both publicly and privately held companies on sophisticated corporate law issues. He provides advice on establishing complex corporate structures, including the relationships between a parent corporation and multiple subsidiary corporations. In addition to his experience as a general business lawyer, Mr. Cirulnick offers his clients a broad tax background. He attended the Masters of Taxation program at New York University. Representative Clients Mr. Cirulnick represents a nationally recognized hospitality company in the development, management and acquisition of high-end hotel, spa and mixed-use development properties throughout the world. Mr. Cirulnick also represents one of the country's leading infrastructure development firms in establishing public/private partnerships with governmental entities for the development of major infrastructure projects throughout the U.S., financed with private, rather than public, funds. Activities Mr. Cirulnick has taught business planning as an adjunct professor at The George Washington University National Law Center. He has written numerous materials for inclusion in American Law Institute-American Bar Association publications, and has authored a chapter entitled "Shareholders Agreements," published by Wiley Law Publications as part of its Negotiating Business Transactions text. Mr. Cirulnick presented a program on "Strategic Planning for the Closely Held Business - Where to Go Beyond Bank Debt and Internal Growth" at the 48th Annual William and Mary School of Law Tax Conference in the fall of 2002.
