Biography

Avinash Ganatra practices in the areas of corporate finance and general securities law. He has extensive experience in representing corporations and financial institutions in complex high-yield and other leveraged finance transactions, debt tender offers, initial public offerings, and equity and debt restructurings. Mr. Ganatra also advises corporate and institutional clients on US securities laws, including disclosure and regulatory requirements and Sarbanes-Oxley compliance. His clients have included Citigroup, Credit Suisse, Merrill Lynch, UBS, AMC Entertainment Inc., Huntsman Corporation, Mirant Corporation, The Nasdaq Stock Market, Inc., Western Gas Resources Inc. and Xerox Corporation.

Mr. Ganatra is the creator of The Irreverent Indenture (©2002 Avinash Ganatra, All Rights Reserved), a unique animated multimedia presentation on high-yield debt covenants. He has led several successful high-yield workshops featuring The Irreverent Indenture for financial institutions in New York, London and Amsterdam.

Mr. Ganatra was one of the founding members of the South Asian Bar Association of New York and served as the organization's president from 1998 to 2000.

High Yield/Leveraged Finance Transactions

· Represented Lender Processing Services, Inc. in a $375 milllion offering of senior notes;

· Represented Kelso and KAR Holdings, Inc. in an over $1 billion offering of floating-rate senior notes, senior notes and senior subordinated notes;

· Represented Kelso and IAAI Finance Corp. in a $150 million offering of senior notes;

· Represented The Nasdaq Stock Market, Inc. in a $125 million offering of senior notes;

· Represented Liberty Mutual Group Inc. in a $500 million offering of senior notes;

· Represented Merrill Lynch and Bear Stearns in a $200 million offering of senior exchangeable notes of Home Properties, L.P.;

· Represented Jamaica Public Service Corporation (subsidiary of Mirant Corporation) in a $180 million offering of senior notes;

· Represented AMC Entertainment, Inc. in several high-yield offerings that raised over $500 million;

· Represented Huntsman Corporation and numerous other Huntsman group companies in several complex high-yield offerings that raised over $3 billion in proceeds, and in complicated equity and debt restructuring transactions;

· Represented Xerox Corporation in a $600 million and €225 million offering of senior notes; and

· Represented Western Gas Resources in a $155 million offering of senior subordinated notes.

Equity Transactions/Initial Public Offerings

· Represented The Nasdaq Stock Market, Inc. in a $155 million secondary public offering of its common stock;

· Represented The Nasdaq Stock Market, Inc. in a restructuring involving an unprecedented private placement of common stock and warrants to over 5,000 members of the NASD;

· Represented UBS Investment Bank in a $150 million secondary public offering of common stock by Home Properties, Inc.;

· Represented Huntsman Corporation in an over $1.5 billion initial public offering of common stock and mandatory convertible preferred stock;

· Represented International Steel Group in a $460 million initial public offering of common stock; and

· Represented Xerox Corporation in an over $1.25 billion shelf takedown of common stock, senior notes and mandatory convertible preferred stock.
