Baker & Daniels has a long history of helping individuals, institutions, families, governments, and businesses to accomplish charitable, educational, social, religious, and other nonprofit objectives. Our Nonprofit Law Team continues this tradition of service to the nonprofit sector.

Nonprofit Law Team attorneys advise and assist nonprofit organizations by providing general counsel with respect to tax, employment (including work rules, employment discrimination, and employee benefits), intellectual property, corporate structure, operations and all other areas of the law that impact those organizations. We also provide charitable giving and similar assistance to individual and corporate clients.


 

Services Available

  • developing nonprofit corporate, trust and association strategies, and preparing organizational documents, including articles of incorporation and bylaws, with special attention to desired tax objectives;
  • providing general counsel for nonprofit organizations;
  • preparing applications and reports for federal, state and local income, property, sales and franchise tax exemptions;
  • providing ongoing guidance with respect to unrelated business income tax (UBIT) questions, private foundation matters, nonprofit board roles and responsibilities, and related issues;
  • drafting and negotiating a wide range of contracts between nonprofit organizations and their vendors;
  • advising tax-exempt organizations regarding the legal and tax consequences of proposed activities and relationships with other exempt and taxable organizations, including taxable subsidiaries and joint ventures;
  • providing representation and services relating to annual, capital and deferred giving development programs, including the preparation of agreements and administrative documents for charitable remainder and lead trusts, gift annuities and pooled income funds;
  • litigating issues related to charitable investments, gift construction, charitable trust administration and reformation, and similar matters;
  • serving as counsel for issuers, borrowers, underwriters, and others involved in tax-exempt financings;
  • advising clients on state laws regulating the conduct of charitable gaming;
  • submitting Internal Revenue Service and Indiana Department of Revenue ruling requests concerning contemplated transactions, including proposed grants, scholarship programs and real estate transactions;
  • guiding individuals and entities with respect to charitable giving matters; and
  • conducting client seminars on a wide variety of legal issues affecting nonprofits.
