Baker Donelson's Corporate Governance Group lawyers have been nationally acknowledged for their experience and knowledge in counseling public company directors, executive officers, audit committees and principal stockholders. We provide practical advice even as the statutory, regulatory and stock exchange approaches to the responsibility and liability of our clients are changing. Our goal is to assist clients in understanding and charting a course through today's legal landscape in order to best achieve their goals. Our attorneys have years of experience in the multiple disciplines necessary to understand this complicated and changing legal landscape, including the most recent pronouncements of the SEC, the stock exchanges and the accounting profession. Our experience and knowledge enable us to survey a client's current practices, measure them against historical and newly-imposed requirements and best practices, identify required changes, recommend optional changes, assist in implementing those changes and (if necessary) defend against corporate or personal liability.

With a variety of skills and seasoned judgment, our attorneys advise senior management, directors and their committees regarding the adequacy of D&O liability insurance policies and internal governance practices, and by-law provisions regarding indemnification of directors and officers. We assist our corporate clients in complying with new standards of information-gathering and reporting, including internal disclosure controls, executive certifications, whistleblower treatment and inquiries from oversight agencies, as well as designing codes of conduct and committee charters.
