Bogdan is a partner in the Financial Services Group. He has more than 25 years of extensive experience in corporate and commercial practice, in both civil and common law jurisdictions. The emphasis of his experience is on structured, trade, asset-backed and securitization financings (particularly in aviation, railroad, mass transit and service industries), mergers and acquisitions (particularly in resource-based industries, power generation and distribution, life sciences, food and IT), e-commerce and IT contractual matters and general corporate and commercial law. He also has experience in national and international joint venture, partnership and other strategic alliance agreements, as well as consumer protection legislation, with a focus on credit card agreements and other financial services.
Bogdan is experienced in leading and managing multidisciplinary and multijurisdictional teams in structuring, drafting, negotiating and implementing complex acquisitions and dispositions of businesses and related financings, and in building strategic alliances and synergetic relationships with participants in the Americas, Europe and Asia.
He has been listed repeatedly in the Canadian Legal Lexpert Directory as a leading practitioner in Asset/Equipment Finance & Leasing.
Some of Bogdan's relevant work experience includes structuring, drafting, negotiating and closing a significant number of:
· Aircraft (wide/narrow body, regional jet, business jet, amphibious/water bomber) and aircraft engine/parts (green/completed) financings and leases (national, international and cross-border) and related security and other agreements (including maintenance, service, operation and ferry-flight agreements). Recent examples include representing German Operating Aircraft Leasing GmbH & Co. KG and Lufthansa Technik AG in the acquisition of, and KfW in the financing of the acquisition of, four Bombardier Global 5000 aircraft for the German Air Force, and representing Sojitz Corporation in the acquisition and modification of three Bombardier Dash-8 315 aircraft for the Japanese Coast Guard.
· Purchases and sales of business through asset or share transactions (national, international and cross-border) and related security and other agreements (including confidentiality, non-competition, consulting, employment, supply, sharing of facilities and cooperation agreements). Recent examples include representing Sojitz Canada Corporation in a joint cooperation and development transaction involving Technologie Biolactis Inc., and representing Euro C.R.M. S.A. in acquiring Canadian business.
· Private investment purchases (PIPE) and public investment purchases. Recent examples include representing High Tech Beteiligungen GmbH & Co. KG on their investment in Lorus Therapeutics Inc.
· Debt, structured, trade and asset-backed financings and securitizations, national and international, and related security. Recent examples include representing Royal Bank of Canada in financing development projects of Toronto Community Housing Corporation and representation of BNP Paribas (Canada) in several receivable securitization facilities.
· Railway and road rolling stock financings and leases (national and cross-border) and related security. Recent examples include representing Canadian National Railway Company and several Canadian banks in lease financings of railroad equipment.
