Licensing agreements can be effective tools to exploit intellectual property assets. Bracewell has substantial global experience representing clients as both sellers and purchasers of commercial licensing rights in patents, manufacturing designs, digital content, technical know-how and trade secrets. We structure, draft and negotiate complex joint ventures, strategic alliances, and joint marketing, and collaboration research agreements. We also protect clients’ intellectual property rights in development agreements, research agreements, confidentiality agreements, trade secret and know-how agreements, and employment and consulting agreements. Our goal in all such transactions is to establish the most effective business advantage for our client, protect the license from infringement, and maximize the return on the license investment.

We assist clients in evaluating the effectiveness of intellectual property portfolios as a shelter for investments in products and markets, while maximizing potential returns. Through our early engagement in licensing transactions, we help ensure that deals are in accord with a client’s overall intellectual asset management strategy. We negotiate agreements covering all aspects of product distribution, including distributors, sales representatives, original equipment manufacturers (OEMs), value-added resellers (VARs), channel allies and franchises.
