Brian DeVirgilio is an associate in the firm's Corporate & Securities Practice Group and a member of the group's tax team. He represents clients in a variety of tax matters, focusing on tax aspects of business transactions.
Business Tax Experience. Brian represents public companies and closely-held businesses in various business transactions. His practice also focuses on private and public offerings of equity interests and debt securities. Brian has also represented clients in a range of tax matters involving partnerships and limited liability companies, including formation, dissolution, mergers, and transfers of interests, as well as preparation and negotiation of agreements in connection with these transactions.
Other Tax Experience. Brian advises clients on state and local tax issues, including structuring transactions to reduce state taxes and tax due diligence in connection with reorganizations and restructurings.
Prior to practicing law, Brian was a certified public accountant, during which time he focused his practice on the audit of mutual funds, concentrating on the valuation of assets and expense reporting.
