Brian McTear focuses his practice on business and corporate matters, advising public and private companies, venture capital firms, private equity firms, early stage companies and entrepreneurs on a variety of matters, including:
· mergers and acquisitions;
· divestitures;
· LBOs and recapitalizations;
· debt and equity financing;
· business formation and planning; and
· general corporate, partnership and limited liability company matters.
In addition, Mr. McTear works with venture capital, private equity and real estate investors on fund formation and private placement matters.
Mr. McTear represents clients in numerous industries, including life sciences, technology and software, internet services, energy, financial services, business services, manufacturing and distribution.
In 2010 and 2011, Mr. McTear was recognized as a "Rising Star" among Pennsylvania lawyers under the age of 40. In 2009, Mr. McTear served as vice chairman of the Annual Mid-Atlantic Capital (now imPACT) Conference. He is a business plan judge, company coach and member of the planning committee for the Private Investor Forum's Angel Venture Fair and also actively participates in Early Stage East and ACG's M&A East. Mr. McTear has also assisted with a class on mergers and acquisitions at Villanova University School of Law.
Following law school, he clerked for the Honorable (Ret.) Joseph T. Walsh of the Supreme Court of Delaware. While in law school, Mr. McTear served as the editor-in-chief of the Delaware Journal of Corporate Law.

· Publicly-traded information technology outsource services company in the sale of its government solutions subsidiary to a publicly-traded engineering and information technology company.
· New York-based private equity firm in connection with its acquisition, recapitalization and financing of an Oklahoma-based medical device distributor.
· Two private equity firms in connection with their acquisition, recapitalization and financing of a Texas-based distributor of products used on oil rigs and in the petrochemical industry.
· Financial services technology company in a venture capital investment from strategic investors, including a Morgan Stanley affiliate, Knight Capital and SIG Growth Equity, and a subsequent sale to a strategic acquirer.
· Securities trading company in a complex series of transactions involving multiple mergers, a tender offer, a $70 million venture capital investment, and ultimately a sale to a major worldwide financial services company.
· Wholesale and retail distributor of liquid fuel and other petroleum products in the sale of its business to a large pipeline operator.
· Philadelphia-based manufacturer of paint finishing systems, including buffing and polishing pads, in its acquisition by 3M Company.
· Inventor and entrepreneur in connection with company formation, structuring, capital raising and general business matters.
· Early-stage medical device company based in northeastern Pennsylvania in connection with restructuring, capital raising and general business matters.
· Formation of opportunistic retail liquidation private equity fund.
