Brian J. Schulman focuses his practice on complex business and securities litigation and regulatory enforcement matters. He represents individual and corporate clients in prosecuting and defending a wide variety of business disputes, including contract matters, fraud, securities law violations, shareholder disputes, real estate transactions, lender liability, mortgage fraud, and officer/director liability.

Brian is former General Counsel to the Securities Division of the Arizona Corporation Commission, where he spent five years before returning to private practice in 1999. During his tenure at the Commission, he prosecuted an array of securities fraud cases and represented the Securities Division in regulatory matters such as lobbying, rulemaking and administrative proceedings related to investment advisor, broker/dealer and capital formation regulations.

Brian practices in both state and federal courts, arbitration proceedings, and before various regulatory agencies such as the Securities and Exchange Commission, the Arizona Attorney General's Office, the Arizona Corporation Commission, and the Arizona Department of Financial Institutions.

Reported CasesSignificant Representations: Represented board members of the Navajo Nation Oil and Gas Company in defense of an attempt to usurp corporate control of the utility, filed in the U.S. District Court for the District of Arizona. Defeated plaintiffs' TRO application that sought to transfer control of the utility from defendants to plaintiffs, which then led to plaintiffs' voluntarily dismissing their complaint.; Obtained defense verdict in jury trial against multiple real estate syndicates brought by investors who alleged that they were defrauded in their investments totaling more than $2.8 million for the acquisition of apartment complexes in Tucson and Phoenix.; Obtained dismissal of securities fraud lawsuit brought by more than 100 shareholders who alleged that officers and directors made material misrepresentations concerning the company's acquisition strategy, securities offerings, and bankruptcy.; Obtained dismissal of defamation lawsuit brought by former police officer against police chief related to alleged comments made in connection with the officer's termination.; Obtained dismissal of misappropriation of trade secrets case brought against national retailer.; Prevailed before Ninth Circuit in the reversal of District Court's vacatur of arbitration award in favor of national securities firm.; Represented national bank in lower court dismissal of contract and unjust enrichment claims brought by borrowers, and prevailed on appeal.; Represented a number of national and regional banks in a variety of matters.; Represented California public company that purchases and manages charged-off consumer receivable portfolios in lawsuit against world's largest independent credit card issuer. Case resulted in multimillion-dollar settlement for client.; Represented former officers, directors and employees of Arizona religious foundation in connection with state and federal litigation arising from accounting and securities fraud charges against outside professionals. At the time the matter resulted in the largest not-for-profit bankruptcy in U.S. history.; Obtained a defense verdict in jury trial against national moving company for negligence in personal injury case.; Resolved dozens of cases through mediation, arbitration and settlement negotiations.; Represent several restaurants and other small businesses in contract and business disputes.; Some of the above matters were handled by Mr. Schulman prior to his joining Greenberg Traurig, LLP.
