Briar McNutt practices in the areas of securities law and corporate and business transactions and represents publicly- and privately-held companies. She works with clients in a variety of industries, including biotechnology, pharmaceuticals, software and applications development and integration, and reverse logistics.
Representative Matters
· Represents publicly-held companies listed on the New York Stock Exchange, the NASDAQ Stock Market and the OTCBB;
· Assists public companies with SEC registered offerings and SEC reporting obligations, Sarbanes-Oxley compliance and satisfaction of stock exchange listing and corporate governance requirements;
· Advises public companies regarding investor and shareholder relations and auditor matters;
· Represents public companies in equity and debt securities offerings and going-private transactions;
· Represents public and private companies in mergers and acquisitions;
· Counsels companies with respect to antitrust matters, including compliance with the Hart-Scott-Rodino Act; and
· Assists early-stage companies with private placements and venture capital transactions, as well as day-to-day corporate law compliance and shareholder matters.
