Biography

Brogan works as a trusted advisor to clients in acquisitions, divestitures, joint ventures, complex commercial transactions, restructuring transactions and general corporate matters. His practice is national in scope, and his clients cover a broad range of industries, including energy, manufacturing, chemical, telecommunications and wholesale grocery.

Brogan has counseled clients in numerous purchase, sale and joint venture transactions, with values up to more than $6 billion. He has guided clients through the structuring, due diligence, negotiation, documentation and completion of deals throughout the U.S. and abroad, including Australia, Europe and Asia. He has represented buyers and sellers in bankruptcy auction sale transactions.

With six years as an in-house attorney for a multinational energy company, Brogan has a specialized knowledge of the energy industry. He has deep experience working with energy companies of all types on power purchase agreements, joint development agreements, facility co-ownership and operating agreements, and other energy-related commercial agreements and transactions. In short, he speaks the energy industry language.

Brogan serves as general outside counsel for a number of companies. For these clients, he drafts and negotiates commercial contracts, structures and implements internal restructuring transactions, and advises on entity formation and general legal matters.

· Represented clients in various sales and purchases of gas and electric utility businesses in Colorado, Iowa, Kansas, Michigan, Minnesota, Missouri, Nebraska, and West Virginia, in transactions valued at more than $2 billion

· Advised global manufacturing company in the purchase of minority interests in a Korean subsidiary for $350 million

· Represented grocery wholesale company in the sale and purchase of grocery store chains and wholesale distribution centers in transactions valued at more than $250 million

· Counseled diversified energy company in three separate sales of minority interests in coal-fired power plants, valued collectively at $145 million

· Represented clients in the purchase or sale of three separate telecommunications companies in deals valued at $445 million

· Served as international due diligence counsel in the $6 billion sale of a global manufacturing company

· Represented stalking-horse bidder in the proposed sale of a 580-megawatt gas-fired power plant in Missouri through a bankruptcy auction process

· Represented energy industry client in various U.S. acquisition and sale transactions, including a $55 million sale of four intrastate natural gas pipeline companies, a $250 million sale of merchant entity loan portfolio, and a $300 million sale of independent power project portfolio

· Advised energy industry client in various international acquisition, sale, and joint venture transactions, including the purchase and subsequent sale of a power distribution company in the United Kingdom, the purchase and sale of electric utility companies in Alberta and British Columbia, and the purchase, sale, and co-ownership of energy and telecommunications businesses in Australia and New Zealand in deals valued collectively at more than $3 billion

· Represented client in the sale of four assisted care facilities through a bankruptcy auction process

· Guided clients in the purchase or sale of natural gas storage development projects in Texas and Arizona

· Advised near-insolvent client in formulating and implementing "exit" strategies for pending acquisition transactions

Commercial Transactions

· Represented electric utility companies, merchant energy companies, project development companies, and manufacturing companies in large and small power purchase agreements (from coal, natural gas, solar, and wind-powered resources)

· Represented clients in drafting and negotiating complex ownership and operating agreements for co-owned power plants, ethanol plants, and other facilities

· Advised chemical and manufacturing companies in long-term, multi-million dollar supply agreements with "name-brand" counterparties

· Counseled clients in drafting complex limited liability company agreements and partnership agreements for joint venture transactions and co-ownership arrangements

· Represented national and international clients in major internal restructuring transactions, including initiatives to unwind subsidiaries or otherwise rationalize complex corporate structures

· Drafted and negotiated complex settlement agreements, including to resolve a dispute with the co-owner of a large manufacturing facility and to unwind hundreds of pending commercial transactions with a bankrupt counterparty

· Engaged as lead draftsman of "playbooks" (both sell-side and buy-side) for the contracts organization of a multi-national manufacturing company

· Drafted form customer contracts for telecommunications and ethanol companies
