As a member of Husch Blackwell's Healthcare, Life Sciences & Pharmaceuticals team, Brooke advises large health systems, hospitals, pharmacy benefit managers and other types of healthcare providers regarding regulatory and compliance, contracting and transactional matters.
She routinely counsels clients on federal regulatory compliance issues involving Medicare, the Stark Law, the Anti-Kickback Statute, the False Claims Act, HIPAA, PPACA, human subject research and ERISA. Brooke also regularly advises clients on state regulatory compliance issues related to Medicaid; fraud and abuse laws; insurance regulations, including any willing provider, prompt payment, and utilization management laws; health laws, such as pharmacy, privacy, corporate practice of medicine, telemedicine, and record retention rules; and procurement regulations.
In addition, Brooke has experience in drafting and negotiating physician employment agreements, professional services agreements, asset purchase agreements, management services agreements, leases, security agreements, research agreements, medical director agreements, vendor agreements and various compliance policies.
Brooke has also assisted clients with corporate and transactional matters including several complex physician group acquisitions.
•Assisted two healthcare systems in acquiring physician-owned clinics and in restructuring to meet provider-based requirements.
•Assisted a Fortune 100 pharmacy benefit manager with creating its Medicaid Managed Care compliance program.
•Handled the legal review of commercial contracts for a Fortune 100 pharmacy benefit manager.
•Worked on-site for a Fortune 100 pharmacy benefit manager and assisted with compliance matters, commercial contracting and policy drafting.
•Worked on-site at a medical center and assisted the general counsel with various compliance matters and policy drafting.
