Services Available
Real Estate Transactions
Our attorneys work on transactions covering the entire spectrum of commercial and residential property including office, industrial, shopping center, retail, rental apartment complex, condominium, low-income housing, hospital, nursing home and congregate care developments in both downtown and suburban locations. As a result, we effectively deal with legal and business issues concerning housing and commercial development, real estate, property management, planning, tax, securities, project financing, regulatory compliance and syndication. We give counsel in land development, new construction and for the acquisition and rehabilitation of existing improvements used for residential or commercial purposes. Our attorneys also are involved in transactions utilizing conventional and tax-exempt bond financing for affordable housing projects and in the leasing of office and retail space.
Financial Services Transactions
Our financial services attorneys help structure and document construction loans, term loans and other real estate-related financings on behalf of banks and other lenders. We have also handled Housing and Urban Development (HUD) insured financings, bond financings, participating mortgages, equity participations, mortgage-backed securitized financings and other forms of sophisticated real estate financing. In addition, we frequently serve as counsel to financial institutions in Pennsylvania and other states in construction loans, land development loans and joint ventures for commercial, residential and industrial properties and businesses.
While providing real estate, tax and federal program representation to clients, we have assisted in integrating public and private funding into sound financial structures for housing and community development projects and have provided creative solutions to complex issues affecting such projects.
Taxation
The firm's tax practice is known for tax planning and advice in all phases of sophisticated commercial and residential real estate acquisitions, both taxable and tax-free, and we help structure acquisitions in connection with syndication of these properties.
Securities and Corporate Issues
The firm counsels a variety of clients on state blue sky securities law matters and on general corporate, partnership and securities matters, handling both regulatory and transactional matters involving the Securities Act of 1933, the Securities Exchange Act of 1934, the Trust Indenture Act of 1939 and the Investment Advisers Act of 1939.
Syndications and Joint Ventures
We represent developers and investors in structuring syndications and joint ventures for the development of housing and commercial projects. Specifically, the firm represents for-profit and non-profit developers seeking debt and/or equity financing for proposed commercial development projects and for housing projects involving federal and state low-income housing tax credits, as well as historic tax credits. In addition, the firm serves as counsel to equity investors in the acquisition of partnership interests in low-income housing tax credit projects as well as in the purchase of tax credits in the secondary market. We draft and negotiate partnership agreements and limited liability company operating agreements, document public and private offerings, handle the acquisition of properties on behalf of investment funds, and the review of tax issues and due diligence associated with such transactions.
