Phil Buffington, a former managing member and shareholder of a Mississippi-based law firm, joined Adams and Reese in 2011 as Special Counsel in the Transactions Practice Group, practicing in the firm's Jackson office.
He has been practicing law since 1984 in transactions, and has extensive experience in representing financial institutions, including representation in regulatory matters, creditor bankruptcy, corporate, commercial law, mergers and acquisitions and securities law. He also has experience in insurance regulatory law, real estate and nonprofit and charitable organizations. In addition, he has experience in general commercial litigation, in particular mediation and arbitration, in state and federal courts and federal agencies.
Phil is admitted to practice in the Northern and Southern District Courts in Mississippi, the Northern and Southern Bankruptcy Courts in Mississippi, the Mississippi Supreme Court, United States Federal Court of Claims and the United States Court of Appeals, Fifth Circuit.
His other representative experience includes:
· Advising boards of directors of financial institutions and profit and nonprofit corporations with regard to their duties and responsibilities and various matters involving the businesses.
· Working with businesses on mergers and acquisitions; holding company formations; divestitures and liquidations; SEC filings and proxy materials; registrations and exemptions; public and private financings; commercial and secured lending transactions; and loan workouts and creditor bankruptcy law.
· Conducting seminars for National Business Institute, Lorman Education Services, Louisiana State University Graduate Banking School of the South, Mississippi Home Corporation, Mississippi Center for Nonprofit Corporation and in house seminars for clients.
In the legal arena, Phil is a member of various sections within the American Bar Association, including the Banking Law Committee. He is also a member of the Business Law Section and Real Property Section of the Mississippi Bar Association.
Phil is an adjunct professor at Mississippi College School of Law, and is a former President of the Mississippi College School of Law Alumni. He earned his J.D. from Mississippi College School of Law in 1984. He double majored in banking and finance/insurance at University of Mississippi, earning a B.B.A. in 1981.
In the community, Phil is heavily involved with St. Andrew's Episcopal Cathedral, having served in various positions and on numerous committees, and has served on various nonprofit organizations boards. He is also a former board member of Habitat for Humanity/Metro Jackson, Inc.
In his spare time, Phil enjoys spending time with his family, volunteering at Jackson Futbol Club (a nonprofit youth soccer organization) of which he is currently serving as Past President and being involved in politics.
Among the people Phil admires is his grandfather who always told him that no one can take away your knowledge so you should always strive to continue to learn something new everyday.
Phil is a Mississippi native, born in Canton.
