Cadwalader provides advice to funds of every type: domestic and offshore hedge funds, funds of funds, acquisition funds, venture capital funds, real estate funds, structured product funds, master/feeder funds, multiclass funds, series funds, bank proprietary funds, multimanager funds and guaranteed funds. Among the principal areas in which we provide services are organizing investment vehicles; structuring and developing new investment products and services; reviewing fund investments on behalf of institutional and private investors; preparing required disclosure documents, including prospectuses, offering memoranda and proxy statements; advising on compliance with federal and state securities, banking commodities, and tax laws and regulations, ERISA, and the rules and regulations of the NASD, the NFA, and the securities and futures exchanges.
In addition, we help to develop a broad spectrum of complex fund-related product offerings, including group trusts, bank collective investment trusts, and products and services for the employee benefit plan market.
Cadwalader provides comprehensive advice and assistance to clients in the organization and ongoing representation of many publicly-offered and privately-placed commodity pools. We provide a wide range of legal services to our commodity pool clients, including advice on legal structure and other formation issues and compliance with securities and commodities regulatory matters, including Securities Act registration filings, Exchange Act reporting requirements, NASD and NFA filings, state securities law issues and corporate governance matters.
