Catherine is a senior securities and mergers and acquisitions lawyer with international experience. Within this practice area, Catherine has experience in hostile takeovers and shareholder meetings, both as Chair of the meeting and as counsel to the Chair.
She acts for junior and senior listed companies and has experience in North America, the U.K., Europe and South Korea.
Catherine is a former member of the Securities Law Advisory Committee for the British Columbia Securities Commission and was a senior staff member at the Ontario Securities Commission from 1990-1994.
•Advising Uranium Participation Corporation (TSX:U) in its bought deal equity offering of 10,522,500 common shares of the Company at a price of $5.47 per common share, which included the exercise in full of the over-allotment option granted to the underwriters, for gross proceeds of $57.6 million.
•Advising EACOM Timber Corporation in relation to its CA$180 million acquisition by Kelso & Company and in its previous CA$127 million acquisition of, and acquisition financing for, the forest products business of Domtar Corporation located in Eastern Canada.
•Counsel to a mining company on a proposed joint venture, 2012
•Private placement of $45 million secured debentures and warrants by a forest products company, 2012
•Counsel to a labour fund company on a merger and unsolicited bid by a fund, 2010
