Charles Schelberg represents a diverse array of clients in a wide range of corporate and business matters. Charlie's practice is concentrated in the representation of regional and international clients in complex business transactions such as mergers and acquisitions, financings and joint ventures. In addition, as outside general counsel he advises clients on a wide array of issues, including contract matters, commercial transactions and disputes, corporate governance, business entity formation and regulatory and real estate issues. Charlie also represents companies, business owners and institutional trustees in transactions and matters relating to employee stock ownership plans (ESOPs). Charlie advises international clients with operations and affiliates in the United States. He advises such clients on choice of entity, governance, contract and other matters, and working with other firm colleagues provides counseling as well on tax, immigration, employee benefit, government contracts, insurance and other matters. Charlie represents clients in the retirement community and nursing home industries. He is general counsel to Ginger Cove, a large continuing care retirement community located in Annapolis, Maryland. Charlie has served as co-chair of the firm's Business Department and co-chair of its Corporate Practice Group. He joined Miles & Stockbridge in 1978. Representative Transactions: Charlie has served as counsel to: · The owners of a group of affiliated East Coast distribution companies in their sale to a private equity buyer. The multi-step transaction included two tax-free reorganizations, the spin off of an unincorporated division, real estate financing and leasing transactions, and issuance of rollover equity in the continuing enterprise to the sellers as part of the consideration for the transaction. · A European manufacturer in the acquisitions of a number of U.S. and international companies in a range of industries. · A U.S. based international design and engineering firm in connection with its merger with the U.S. affiliate of a European acquiror. · The lead investor in a venture capital transaction providing financing for a biotechnology company. · A European venture capital firm in due diligence analysis of intellectual property and other matters for a proposed investment in a U.S. technology company. · The majority stockholders of a privately held firm in the sale of the controlling equity interest to an employee stock ownership plan (ESOP). · The owners of a group of rail transportation equipment leasing companies in their sale to a foreign acquiror. · The buyers in a management buy-out of a large office furniture distributor. · An institutional ESOP trustee in the proposed asset sale of a government contracting firm.
