Cheryl Slusarchuk* is a partner in the Business Law Group and National Leader of Canada's highest ranking Technology law practice group according to Chambers Global. She practices in the areas of private M&A, outsourcing, cloud and technology transactions, with a focus on cross-border deals and global roll-outs. She represents clients in complex technology transactions including those relating to exclusive licenses, rights in source code, open source software, social networking and media, online commerce as well as data privacy aspects of outsourcing and cloud computing services.
Ms. Slusarchuk has been consistently ranked among Canada's top lawyers by numerous publications, such as the 2012 The Best Lawyers in Canada in the area of information technology law, 2012 Chambers Global: The World's Leading Lawyers for Business in the area of information technology, 2011 Canadian Legal Lexpert Directory as a leading lawyer in the areas of corporate mid-market, computer and IT law, technology transactions and private equity; and 2011 International Who's Who of Internet and E-Commerce Lawyers.
Ms. Slusarchuk is on the board of Smart Grid Canada and the British Columbia Innovation Council. She has served as the Chair of a Green Energy Advisory Taskforce, Chair of the Climate Action Team and President of the Premier's Technology Council.
Highlights of Ms. Slusarchuk's recent experience include:
· acting for Research In Motion in the purchase by the Rockstar Consortium of Nortel Networks patents for $4.5 billion;
· acting for customers and providers on complex outsourcing, procurement and offshoring transactions for IT functions, call centers and business processes (BPO);
· acting for technology and clean technology companies in the acquisitions of U.S. based and international companies;
· acting for technology and clean technology companies on cross-border commercial agreements, including licensing distribution and outsourcing for numerous countries including Australia, Brazil, China (Hong Kong and PRC), France, Germany, India, Indonesia, Japan, Korea, Malaysia, Mexico, New Zealand, Pakistan, Philippines, Singapore, Taiwan, Thailand, Venezuela, Vietnam, and the United Kingdom.
Prior to joining McCarthy Tétrault, Ms. Slusarchuk was a partner in the Technology/E-commerce Group of a large, international firm in the U.S. where she worked in these same practice areas.
Ms. Slusarchuk was General Counsel of a NASDAQ-listed international provider of technology and outsourcing solutions, with a market capitalization of $1 billion and over 6,000 employees. Her responsibilities included an initial and secondary public offering, as well as significant outsourcings and international acquisitions.
Ms. Slusarchuk also worked for six years in Australia, focusing on corporate and commercial transactions in the Asia-Pacific region.
Ms. Slusarchuk received her LL.B. from McGill University and her J.D. from Chicago Kent-College of Law (Order of the Coif). Ms. Slusarchuk was initially admitted in New South Wales, Australia and subsequently admitted in Colorado, Illinois, British Columbia and Ontario. She remains licensed to practice law in Colorado, Illinois, British Columbia and Ontario.
Ms. Slusarchuk regularly lectures at various programs and conferences and authors publications on cross-border mergers and acquisitions, outsourcings and other transactions, as well as in the outsourcing, technology and clean technology areas.
