Christopher C. Roberts has over 30 years experience as a business attorney focusing on mergers and acquisitions, securities, employment, business planning, tax, ESOPs, intellectual property, government contracts, and general corporate and commercial matters. M&A transactions have included representing a public multi-national corporation with respect to its $380 million purchase of a national distribution business, and representing a private consulting and government contracts business with respect to its $23 million sale to a public company. Securities transactions in which Mr. Roberts has been involved include IPOs and other public offerings as well as a wide variety of private placements and venture capital transactions (including under Regulation S and Rules 506, 505 and 504 of Regulation D). He has also handled Rule 144 and Section 4(1 1/2) transactions, and opinions of counsel regarding the removal of restrictive legends. Other business projects have included resolving shareholder disputes, preparing shareholder buy-sell agreements, operating agreements for limited liability companies, employment and consulting agreements, non-competition and confidentiality agreements, and stock bonus, option, SAR and other equity compensation plans. Mr. Roberts, who has represented companies as well as selling shareholders in ESOP transactions, has been a member of The ESOP Association for approximately 17 years. Mr. Roberts worked part-time, and after graduating from law school full-time, as a law clerk for Hon. Judge J. Dudley Digges of the Court of Appeals of Maryland from 1974-1976. After his clerkship, Mr. Roberts traveled solo around the world for approximately 18 months, visiting about 25 countries mostly in Asia, the Indian subcontinent and the Mideast. Shortly after returning to the U.S., Mr. Roberts began practicing law at Shulman Rogers.
