Chris brings to his clients a broad range of experience in counseling investors, companies and entrepreneurs in a variety of business transactions, including venture capital and private equity investments, mergers and acquisitions, private securities offerings, senior and subordinated debt financings, sophisticated technology transfers and licensing transactions, and equity-based compensation arrangements.
Chris' practice is equally split between guiding venture capital and other private equity funds through their direct investments in prospective portfolio companies and in advising companies (and/or entrepreneurs) that are venture-backed endeavors. Chris' extensive experience with both capital sources and venture-backed companies provides him with a unique perspective on the concerns of each party in these transactions and allows him to anticipate concerns and to structure solutions that work for both sides.
Chris has a wide range of experience in advising start-up companies (and founder teams) from inception through various financing rounds to successful exit.
Life Sciences - In each of the following transactions, Chris served as lead outside counsel:
•Vortex Medical, Inc., a company developing a cardio-thoracic medical device instrument, in its Series A investment round.
•The Series A investment and various follow-on financings, by Catalyst Health Ventures in LumeRx, Inc., a company developing an endoscope device for the treatment of ulcers.
•Biotechnology company focusing on gene discovery systems and immunotherapeutics.
•The Series B investment by Catalyst Health Ventures in Novazyme, Inc., a company developing a therapeutic treatment for an enzyme deficiency syndrome (later purchased by Genzyme, Inc.).
•Lysoplex, LLC, a company developing a diagnostic and screening tool for detecting lysosomal diseases in newborns in its initial capitalization and licensing of technology.
•Late stage financings in a protein-coupled receptor drug discovery technology company.
•Multiple financing rounds in an artificial skin/wound repair company.
•Third round financing in a chemotherapy monitoring assays technology company.
Private Equity Investments - In each of the following transactions, Chris was counsel to either the lead investor or the majority investors:
•$37 million Series B investment in start up video on demand internet television network.
•Numerous financings totaling over $70M for a sports programming satellite, cable and television network.
•$60 million financing for a Latino oriented satellite, cable and television network.
•Debt and equity financing for acquisition and buildout of PCS C Block license in the State of Hawaii.
•Multiple financings in support of radio station rollup.
•Multiple rounds of equity financing of next-generation storage network company.
•Equity financing of a security information management software company.
•Equity financing of an IT managed services provider.
•Multiple rounds of equity financing in the building of dark fiber loops, in U.S. second tier markets.
•Majority equity investors in connection with the purchase of a Midwestern ILEC.
•Acquisition of telecom assets of a utility-owned CLEC.
•European tele-housing company.
•Equity financing of various CLEC networks.
•Formation and capitalization of a holding company for radio station acquisitions and several radio station acquisitions thereunder.
•Developing a satellite-based wireless network company.
•Numerous angel investors in both fund documents and direct investments in portfolio companies.
Technology & Media Companies - In each of the following, Chris serves as lead outside counsel to these technology & media companies:
•$110 million sale of Internet based on-line motor vehicle registration company.
•$50 million debt and equity financing for Massachusetts based materials sciences company.
•Numerous financings and strategic transactions for start up sports programming satellite, cable and television network.
•Acquisitions and financings for PCS network being constructed and operated in the State of Hawaii.
•German-based optical router company.
•International remote services processing company with operations in India and the U.S. (numerous financing rounds and acquisitions).
•Motion-sensing security device company.
Before Edwards Wildman
Prior to his legal career, Chris served as a city planner in several communities, including Portsmouth, NH, Millbury, MA and, lastly, Fitchburg, MA where he was planning director.
Besides Edwards Wildman
Chris has three small children that occupy the vast majority of his free time. He coaches numerous youth sports in Cohasset, MA where he lives. He is an active skier and boater, has climbed numerous mountains on the East and West Coast and has spent many nights inside and at the bottom of the Grand Canyon.

A team our Mergers & Acquisitions, Regulatory, Tax, and Benefits and Compensation lawyers represented New York-based Time Warner Cable in the acquisition of cable systems in Kentucky and Tennessee serving approximately 70,000 video subscribers from NewWave Communications.
