A partner since 1994, Craig represents clients with respect to securities law and corporate governance matters. He advises senior managements and boards of directors on corporate governance matters. Additionally, he advises public and private companies on securities laws aspects of equity-based incentive plans for directors, officers and employees. Craig has extensive experience in private placements of securities representing both private and public companies. Craig has led many transactions involving the negotiation, sale and closing of acquisitions, disposition and mergers of public companies and private companies alike, including compliance with the securities law aspects of mergers and acquisitions. Closely related to this is his experience in engineering corporate reorganizations of several of his clients. As part of his corporate and commercial finance practice, Craig has extensive experience representing both public and private companies as borrowers in secured and unsecured lending transactions. Additionally, his experience includes representation of clients with respect to commercial transactions. Finally, Craig provides general corporate law and other legal advice to many public and private clients and has served as de facto general counsel for a number of companies that do not have in-house general counsels.
