Curtis Johnson represents borrowers and lenders in complex financing transactions, a subject on which he has written various articles and is a frequent lecturer. Prior to joining the firm, Mr. Johnson was Associate Deputy General Counsel to First Fidelity Bancorporation and was responsible for providing legal services for commercial lending business units located in New Jersey. He is an Adjunct Professor at Seton Hall Law School and has taught the Commercial Law Survey Course during the 2010 and 2011 summer sessions.
After joining McCarter & English, Mr. Johnson represented several commercial banking institutions in the collection and restructuring of distressed debt obligations and defense of lender liability claims including enforcement of such obligations through litigation in state, federal district and bankruptcy courts. In more recent years, Mr. Johnson's practice has focused on representation of a broad spectrum of clients in a transactional context.
Most recently, Mr. Johnson has represented a first tier commercial bank as agent and lender in a $35,000,000 asset based multiple borrower credit facility secured by personal property and real estate in several states used to finance strategic acquisitions; the purchaser of a manufacturing division of a publicly traded company with respect to the senior credit facility, mezzanine debt financing and preferred equity investment to finance the $10,000,000 acquisition; and a mezzanine debt private investment fund lender with respect to the purchase of notes and warrants for an aggregate of $7,500,000 used to finance the purchase of a distressed manufacturing company.
Mr. Johnson also recently represented a publicly traded technology company with respect to a $75,000,000 senior credit facility used in part to finance international strategic acquisitions; a leverage lender in transactions featuring "New Market Tax Credits" available under the Internal Revenue Code; and an asset based lender specializing in health care lending in providing $40,000,000 credit facility to a multistate nursing home operator.
Most recently, Mr. Johnson has represented various clients with respect to loans made to developers of solar power projects in complex transactions including a lending program by a major public utility and a financing by a major bank that included the use of New Market Tax Credits.
