Dan Zimmerman's practice focuses on securities regulation, mergers and acquisitions, tender offers and exchange offers, securities offerings, corporate finance and corporate governance. He has represented public and private buyers and sellers in a variety of negotiated and contested domestic and cross-border transactions, securities offerings and other financings.
Prior to joining Cadwalader, Dan served in the Division of Corporation Finance of the Securities and Exchange Commission ("SEC"), where he advised on SEC reviews of mergers and acquisitions, initial public offerings, debt restructurings, proxy materials, going-private transactions, resale registration statements and periodic reports. While at the SEC, he also prepared responses to no-action requests related to Rule 144, Rule 12h-3 suspension of reporting duties and shareholder proposals.
A graduate of Vanderbilt University, Dan received his M.B.A. at Columbia Business School and his J.D. from Columbia Law School. He is admitted to practice in the State of New York.

("CCE") in the acquisition of its North American business by The Coca-Cola Company and the simultaneous split off of CCE's European business and CCE's acquisition of The Coca-Cola Company's bottling operations in Norway and Sweden, with a transaction value of approximately $12.5 billion.
• Validus Holdings Ltd. in its successful unsolicited offer to buy IPC Holdings Ltd. for approximately $1.65 billion.
• The Great Atlantic & Pacific Tea Company, Inc. ("A&P") in its acquisition of Pathmark Stores, Inc. for approximately $1.3 billion.
• Issuers and borrowers, underwriters, initial purchasers and lenders in various high yield and investment grade bond offerings and investment grade and leveraged finance transactions.
