Biography

Dan Reisman practices in the areas of real estate, land use, and corporate law. In his real estate practice, he represents buyers, sellers, developers, equity funds, lenders and brokers in a variety of matters, ranging from the negotiation of leases for various uses, such as retail stores and restaurants, to the sale and purchase of residential and commercial property, the negotiation of complex loan documents, and the negotiation of construction documents. In his land use practice, Dan regularly appears before zoning boards and government commissions in the Philadelphia metropolitan area, where he represents owners, developers, private operators, landlords, lessees, businesses and non-profits. And in his corporate practice, he represents clients in connection with the negotiation of organizational documents, such as partnership and operating agreements, as well as with respect to fundamental corporate transactions such as asset purchases. He has also developed a niche practice representing non-profits, including both small, community based non-profits, as well as several of the largest non-profits in the Philadelphia region. In his non-profit practice, he advises his clients regarding real estate, land use, corporate, and non-profit matters.

Representative Matters

· Representation of purchaser in acquisition of Class A office building in Philadelphia with a purchase price in excess of $100 million and with respect to the continuing post-acquisition operations of the property on matters such as leasing and code compliance issues;

· Representation of large non-profit in connection with the development of a state-of-the-art job training facility in northeast Philadelphia ;

· Representation of the equity interests in pre-packaged bankruptcy filed in eastern Pennsylvania in a series of 38 separate bankruptcies involving 23 properties, over 2,000 limited partners, 2,500 residential tenants and over $250 million in defaulted obligations;

· Representation of prominent Philadelphia restaurateur in connection with the development and operation of restaurants in Philadelphia and other cities;

· Representation of developer on the gamut of legal matters relating to the development of condominium projects throughout Philadelphia, including negotiating the acquisition and loan documents, obtaining zoning variances and other required approvals necessary for construction of projects, and the sale of individual residential units to the end buyers;

· Representation of seller of Class A office building in Florida ;

· Representation of real estate equity fund in connection with the purchase of non-performing loans, including negotiating the deed-in-lieu documents;

· Representation of real estate fund in connection with the negotiation of partnership agreements on its behalf as the equity investor in various projects;

· Representation of major university in connection with the negotiation of a large acquisition loan for the purchase of property and the rendering of advice regarding land use issues relating to the development of university property;

· Representation of energy company in connection with purchase of land and the financing of construction of a $200 million+ ethanol producing facility;

· Representation of large group of doctors in connection with purchase and financing of interests in two medical office buildings in suburban Philadelphia ;

· Representation in land use matters of coalition of businesses opposed to expansion of adult uses in Center City , Philadelphia .
