David B. Eberhardt's practice focuses on mergers and acquisitions, commercial law, general business counseling and other corporate transactional matters with an emphasis on the distribution and manufacturing industries.
Before joining Miles & Stockbridge, David served as executive vice president and general counsel of U.S. Foodservice, Inc., the second largest foodservice distributor in the U.S., with annual sales of approximately $20 billion and 26,000 employees. He was a key participant in the company's mergers and acquisitions strategy, through which the company completed more than 25 transactions with aggregate purchase/sales proceeds exceeding $15 billion, including four of the five largest transactions in foodservice distribution history.
David led the legal and risk management functions of the company and managed a department of almost 50 employees, including 14 lawyers. He was also a member of and advisor to the executive leadership team.
As a result, David has experience advising businesses in a wide array of legal issues, including the management of a full spectrum of legal issues in coordination with the achievement of business objectives, corporate governance, crisis management, risk management, the efficient and effective utilization of legal resources and the coordination of in-house and outside legal resources.
Prior to joining U.S. Foodservice, David was a principal in Miles & Stockbridge's Columbia office, which was formerly Levan, Schimel, Belman and Abramson, P.A. He started as a law clerk in 1984, became an associate in 1985 and a principal in 1992.
