An experienced transactions lawyer and a member of the firm's Partner Board, David practices primarily in securities and corporate governance, mergers and acquisitions, and investment management, with a particular emphasis on renewable energy projects. In his renewable energy practice, David represents investment bankers, developers and owners of renewable energy projects, providing corporate, public and private securities, finance and corporate governance leadership to renewable energy project teams. Projects include several public ethanol companies, as well as privately owned ethanol projects, emerging technology in biodiesel and other areas, and wind energy development and transmission projects. In investment management, David represents investment advisors and public and private investment companies, both open and closed-end funds, in all aspects of investment company and investment advisor compliance, including structuring of fund complexes, exemptive orders, investment company registration, business development company elections, ongoing SEC reporting, SEC examinations, SBIC applications and administration, portfolio investments, corporate governance and fund mergers. David has structured several unique BDCs, including funds with a two-level SBIC structure, a renewable energy fund and a growth stage venture fund. Additionally, David represents early-stage and growth-stage technology companies. In this capacity, he and his team provide full life-cycle support for these companies, and David provides leadership in all aspects of capital formation.
