In a regulatory environment that has grown increasingly complex, financial institutions and other public companies rely on David Wilson to help them navigate the rules and requirements of the Securities and Exchange Commission, the New York Stock Exchange and NASDAQ. Companies in the highly regulated banking and healthcare industries turn to David for counsel in raising capital through public and private offerings. Some of the recent offerings on which he has worked include:
· Raising $115 million for a NYSE-listed bank holding company through an underwritten public stock offering
· Raising $250 million for a publicly-traded healthcare company through the issuance of senior subordinated debt
· Raising almost $70 million for a NASDAQ-listed turbine manufacturer through several underwritten and registered direct equity offerings
· An underwritten public stock offering for a NASDAQ-listed bank holding company
Banking and healthcare companies also benefit from David's counsel in transactional matters, most notably a NYSE-listed bank holding company's acquisition of three targets with nearly $700 million in combined assets, and a privately held company's $400 million acquisition of a dental practice management firm.
David deeply understands the challenges facing the financial services industry, and for the past four years he has helped organize Waller's annual Southeastern Banking Seminar. This well-attended program provides insight into recent developments, emerging issues and the potential impact of the new regulations.
David has been published in Community Banker, a publication of the American Bankers Association, and has been quoted in the Wall Street Journal on the compensation and corporate governance practices of public bank holding companies.
