Biography

David Neuville is a U.S. capital markets partner specializing in equity and debt capital markets transactions for companies throughout the Asia-Pacific region, with a particular emphasis on, and depth of experience in, China, Hong Kong, India and Indonesia. He has been based in Hong Kong since 1994.

David's practice has covered a full range of equity and debt offerings in Asia, including public and private offerings of shares, depositary shares, convertible and exchangeable securities, and investment grade and high yield debt securities. He has also acted on rights issues and advised, recently, on PRC renminbi dim sum bond offerings. His practice has included the representation of both issuers and underwriters, and he has acted in offerings by companies in Taiwan, South Korea, Mongolia, Thailand, the Philippines, Malaysia and Australia, in addition to those in the above core jurisdictions. He has participated in many notable transactions during his Asian tenure, including six of the early New York/Hong Kong dual listing IPO transactions by PRC and Hong Kong businesses.

David has participated in seminars and lectured to professionals and business persons in Hong Kong, India, China, Mongolia and Taiwan with respect to securities laws and regulations. He has served on the Advisory Board of the World Securities Law Report, a publication of BNA International Inc., and was the author of an article on the PRC's first national Company Law in the introductory issue of that publication. Recently, he has written on Hong Kong shareholder voting issues (Alibaba Structure Forces Hong Kong Stock Exchange to Assess its Position on Corporate Governance), on the issue of pre-offering research reports in Hong Kong (A Materially Different View on Pre-deal Research Reports in Hong Kong IPOs), on developments in the global markets for renminbi bonds (Hainan Airlines Delivers a First in Offshore RMB Financing Amidst Record Dim Sum Bond Market Performance), and, in the International Financial Law Review, on obtaining auditor's comfort letters on behalf of securities issuers (Added Comfort). He was also the author of an article relating to US-registered public offerings by foreign private issuers published in the IFLR, and co-authored a paper on mergers and acquisitions in the PRC which was published in The China Finance Manual (Asia Law and Practice), and an article on US listings by PRC enterprises which was published in the second edition of that manual (Asia Law and Practice).

David has been listed as one of the leading capital markets lawyers in Hong Kong in the Chambers Global Guide to the World's Leading Lawyers, Chambers Asia and the Asia Pacific Legal 500.

He has a J.D. from Harvard Law School and a B.A. from Swarthmore College. David is admitted to practice in New York and is qualified as a solicitor in Hong Kong.
