Dawn M. Bernd-Schulz represents both public and private companies in corporate transactions, including private and public financings, international market financings, mergers and acquisitions, and going public transactions. She also advises clients in connection with the preparation of primary and resale registration statements, privatization and deregistration, listing and continued listing on the NYSE, NASDAQ and OTCQX, and primary and secondary listing on the HKSE and TSX.
Ms. Bernd-Schulz also advises public companies in connection with ongoing securities law disclosure and notice requirements, including corporate governance and Sarbanes-Oxley compliance, fiduciary obligations, and executive compensation matters. She has particular experience working with, and understands the special needs of, development stage, emerging market, and small cap public companies.
Ms. Bernd-Schulz works from both our Shanghai office and our Washington, D.C. office.

· Corporate and securities counsel to an information technology company based in China, following its merger transaction, and in connection with its subsequent PIPE financings and Registered Direct offering, and its move from the OTCBB to the NASDAQ Global Select Market.
· Corporate and securities counsel to a China-based biopharmaceutical company, following its merger and subsequent PIPE financing and Debt offering, and in connection with its move from the pink sheets to the NASDAQ Global Select Market.
· Corporate and securities counsel to a high speed rail automation systems provider in China, following its merger transaction with Chardan North China Acquisition Corp., and in connection with its move from the OTCBB to the NASDAQ Global Select Market.
· Corporate and securities counsel to a global energy company involved in the exploration, development and operation of oil properties in Africa, and in connection with its Registered Direct offerings.
· Represented a venture capital fund in connection with its private equity investment in a domestic holding company and its wholly-owned operating company in India.
· Corporate and securities counsel to a China-based manufacturer of motorcycles, small engines and electric vehicles, and in connection with its PIPE financing and public offering.
· Corporate and securities counsel to an emerging U.S.-based social media and e-commerce facilitator, and in connection with its technology licensing and PIPE financings.
