Dean is a Member of the firm's Corporate & Securities Section and Chair of the Mergers and Acquisitions Practice Group.
Dean focuses on executing buy- and sell-side middle-market mergers and acquisitions and private equity transactions, as well as company and investor-side equity, debt, and other corporate finance transactions across a broad range of industries, including technology and software, health care, lighting, media and marketing, publishing, retail, financial services and life sciences.
Dean's experience includes strategic acquisitions, private equity transactions, management buyouts, cross-border deals, distressed sales, complex earn-out arrangements, equity and debt financings, recapitalizations, and other forms of capital-raising transactions. Dean also regularly counsels clients on general corporate and corporate governance matters, and has extensive experience counseling venture-backed emerging-growth companies.
Dean is admitted to practice in Massachusetts and New Hampshire. He received his BA from Colby College (1991) and his JD, cum laude, from Suffolk University Law School (1995), where he served as an editor of the Suffolk University Law Review.
Dean was named to the Massachusetts Super Lawyers list in 2011 and was named a Massachusetts "Rising Star" in 2005.

Philips Electronics North America Corporation: Dean has represented the Healthcare and Lighting divisions of Philips Electronics North America Corporation, the North American operating company of Koninklijke Philips Electronics NV (NYSE: PHG), in connection with a number of middle-market transactions, including the following:
· The acquisition of a closely held manufacturer of energy-efficient lighting solutions
· The acquisition of a provider of specialized lighting solutions for health care facilities from a Norwegian-based company
· The acquisition of a Vienna-based sleep diagnostic business
· The spin-out of a 3-D printing company
· The acquisition of a therapeutic hypothermia solutions business
· The acquisition of a privately held supplier of integrated solutions for management of lighting and energy usage
· The acquisition of a privately held home health care related business
· A joint development arrangement to explore the problem of infectious disease in critical care
Alloy, Inc.: As M&A counsel to Alloy, Dean has executed dozens of transactions in the e-commerce and media and marketing industry, including transactions involving college and high school media, display media, advertising services, and social network marketing. Representative transactions include Alloy's acquisition of the assets of TAKKLE.com, a college recruitment website for high school sports; Fulgent Media Group, a full-service media agency which provides media, advertising, research, and consulting services; and Channel One Communications; a provider of news and public affairs content to schools; as well as the divestiture of its Frontline Marketing business to Acosta Sales and Marketing.
Reveal Imaging Technologies, Inc.: Dean represented Reveal Imaging Technologies, a leading provider of explosive and other threat detection products and services, in connection with general corporate matters, corporate financing transactions, and its sale to Science Applications International Corporation (NYSE: SAI).
SiOnyx, Inc.: Dean provides general corporate and other representation to SiOnyx, which is commercializing a patented semiconductor process for use in next generation photonics and photovoltaic applications.
BatchBlue, LLC: Dean serves as outside general counsel to BatchBlue, a privately held contact management software company.
Commonwealth Capital Ventures: Dean has represented Commonwealth Capital Ventures, a venture capital firm focused on early- and growth-stage technology companies, in connection with various investments.
Pilot House Ventures: Dean has represented Pilot House Ventures, a Boston-based venture capital firm focused on investing in early-stage technology companies, in connection with various investments.
Dean has also represented a middle market private equity firm in connection with a number of health care related transactions.
