Douglas Woloshin is the managing partner of the Washington, D.C. office and serves on the firm's Partners' Board. Mr. Woloshin also is head of the firm's Project Finance Practice Group. Mr. Woloshin concentrates his practice in the areas of corporate law, mergers and acquisitions, real estate, and corporate finance and project finance.
Mr. Woloshin counsels corporations, individuals, partnerships and nonprofit entities on a broad range of business matters, including business formations, reorganizations, and mergers and acquisitions. Mr. Woloshin also has accumulated experience in cross-border transactions, venture capital/private equity financing, distressed asset transactions, and international joint venture formation, as well as being a tax accountant.
A member of the American Bar Association, Mr. Woloshin is a 1973 graduate of Georgetown University Law Center and a graduate of Villanova University.
Representative Matters
· Represented a defense and intelligence contractor in its sale to American Management Systems for $42 million in cash. The transaction was a complex stock sale that involved three parties including an ESOP as a selling party. Transaction involved the satisfaction of all The ESOP trustee's valuation and fiduciary duties.
· Represented the U.S. Department of Agriculture in the privatization of the Graduate School, a non-appropriated funded instrumentality of the United States government ("NAFI"). Transaction involved the transfer of all of the assets and liabilities of the NAFI to a private nonprofit entity while maintaining the NAFI's educational mission.
· Counsel in the negotiation and documentation of multimillion-dollar commercial loan facilities.
· Counsel in the sale and purchase of large, complex commercial real estate transactions, including like-kind exchange transfers.
· Counsel in the creation of business entities to develop and operate real estate and service ventures.
· Counsel in merger and acquisitions of government contractors and high-tech corporations
