Driscoll R. Ugarte is a business and securities lawyer who practices in the areas of private equity financings, emerging companies, mergers and acquisitions, securities and general corporate law. He counsels public, domestic and foreign corporations through all stages of development, including public and private offerings of equity and debt, tender offers, proxy contests, going-private transactions, and recapitalizations. Driscoll advises public and private business organizations in a broad and general capacity, drafting documents and contracts incidental to formation and on-going business operations of corporations, partnerships, and limited liability companies, and preparing transactional documents related to asset and stock sales. He also advises start-up companies and entrepreneurs, venture capital companies and underwriters.

· Driscoll advised a Florida-based designer, importer, distributor and licensor of men's apparel in connection with its $150 million bond offering, $150 million "universal shelf" and $40 million public stock offering.
· Driscoll counseled a drug delivery technology and generic pharmaceutical company in connection with its $23.4 million and $5.5 million private offerings of partnership interests.
· Driscoll assisted a foreign private issuer with a public follow-on offering of $43 million of ordinary shares.
· Driscoll represented a public internet-based weight-loss company in the acquisition of a private nutrition company.

After college and law school, Driscoll served as a law clerk for the Honorable Thomas D. Sawaya at the Fifth District Court of Appeal in Daytona Beach, Florida. He also practiced corporate and securities and healthcare law in the West Palm Beach office of a mid-sized regional law firm.
Besides Edwards Wildman
Driscoll is involved in various community organizations - notably, he is a member of the Hispanic Chamber of Palm Beach County and a voting member of the Independent Sales-Surtax Oversight Committee, a committee of the School Board of Palm Beach County.
