Professional Experience

Ted See's practice includes state and local government finance, representing governmental agencies issuing general obligation and revenue bonds, and representing borrowers, lenders, underwriters, trustees, and issuers of private activity bonds. He also represents banks and financial institutions that provide credit support to bond issues.

Financings have included variable-rate put bonds with swaps; auction-rate bonds; LIBOR indexed bonds sold to European investors; advance refunding bonds with float contracts; forward-purchase bonds; and bonds backed with financial insurance, letters of credit, or standby purchase agreements.

Representative Matters

· Lead bond counsel and disclosure counsel to State of Connecticut

· Bond counsel for over 100 government issuers in State of Connecticut

· Bond counsel to various state authorities

· Financings throughout New England and the United States

· General municipal law matters, including charter revisions, government consolidations, zoning and land use matters, contracts, construction, assessments, and tax matters

· $1,030,375,000 State of Connecticut General Obligation Refunding Bonds; served as lead bond counsel, coordinating eight other law firms, in the largest advance refunding in the State's history; prepared escrow agreement for refunding escrow and negotiated terms of float contract for escrow, and prepared forms of all closing documents and coordinated closing; as the State's disclosure counsel prepared annual information disclosure statement of the State, updated disclosure for bond issue, organized due diligence procedures, and provided disclosure counsel opinion

· $41,920,000 Solid Waste Revenue Refunding Bonds - Covanta of Bristol, Inc, Project, 2005 Series: Served as sole bond counsel to the Committee; this issue was a current refunding for a resource recovery facility overseen by a consortium of fourteen participating municipalities; there were credit issues related to the recent emergence of the facility operator from bankruptcy, and the bonds were secured by service agreements with the participating municipalities, liens on the facility, and an electric purchase agreement; we drafted legislative amendments that permitted the refunding, coordinated the closing, and prepared forms of all refinancing and closing documents, including necessary tax documentation, agreements among participating municipalities, escrow defeasance agreement, and loan documents for the conduit borrower

· $16,340,000 Connecticut Health and Educational Facilities Authority Variable Rate Demand Revenue Bonds, Quinnipiac University Issue, Series G. Served as sole bond counsel to the Authority; the bonds are special obligations of the Authority, issued pursuant to a trust indenture and payable by Quinnipiac University; this issue included the advance refunding of a prior series of bonds for Quinnipiac University, which were also partial advance refundings, thereby requiring substantial tax analysis of four prior series bonds; prepared the necessary tax documentation and escrow defeasance agreement and advised on the procedures for purchasing open-market U.S. Treasury securities to fund the escrow, in order to ensure compliance with IRS regulations on purchasing defeasance obligations; the bonds were supported by a letter of credit and required negotiation of an intercreditor agreement between the letter of credit bank for Series G and the bond insurers and credit enhancers from prior series with respect to a sharing arrangement of the revenues of the University in the event of a default
