Edward J. (Ed) Hammond

Edward Hammond is a partner with Foley & Lardner LLP and is a member of the Finance & Financial Institutions Practice and Energy Industry Team. He focuses his practice in the area of commercial and industrial financing transactions, including energy and infrastructure project financing, syndicated bank loan transactions and institutional investment in long-term debt securities. Mr. Hammond serves on the board of trustees of the American College of Investment Counsel and currently serves as treasurer of that organization. He is a member of the American Bar Association and its Business Law Section, as well as of the Milwaukee Bar Association and the State Bar of Wisconsin.

Mr. Hammond was selected for inclusion in the 2006, 2007 and 2008 lists of Wisconsin Super Lawyers® for his business/corporate work. He has been selected by his peers for inclusion in the 2007, 2009 and 2010 editions of The Best Lawyers in America® in the areas of banking law, structured finance law and project finance law.

Mr. Hammond received his bachelor's degree, magna cum laude, from Yale University in 1978 and his J.D. degree from the University of Chicago in 1981. In addition to Wisconsin, he also is admitted to practice in the state of Massachusetts.

· Representation of agent banks in over $2 billion of syndicated revolving credit and term loan facilities, both secured and unsecured, for large corporate and middle market manufacturing, energy and distribution companies in the Midwest.

· Representation of the agent banks in a $125,000,000 asset-based syndicated loan facility for a distribution company.

· Representation of a private equity fund investor in a $375,000,000 financing of a portfolio of district heating and cooling systems.

· Representation of a large infrastructure project developer in a $185,000,000 financing of a portfolio of district cooling systems.

· Representation of a large operator of skilled nursing and assisted living facilities in a $120,000,000 revolving credit facility.

· Representation of an independent energy developer in a $200,000,000 construction and term project financing for a 130 MW wind farm in the upper Midwest.

· Representation of the power development affiliate of a Midwestern utility in the acquisition and financing of several electric generation facilities around the United States.

· Representation of several Chicago-based financial institutions in providing non-recourse project financing for the acquisition and improvement of several hydroelectric generating facilities in the Midwest and Southeast.

· Representation of a large institutional investor in a series of nationally syndicated revolving credit and term loan facilities, generally ranging in size from $500 million to $1 billion, for a variety of leveraged acquisitions and recapitalizations.
