Practice/Industry Group Overview

Our project finance practice group represents sponsors and developers, senior debt providers and equity investors and governments and agencies in the public/municipal sector. Our equal representation of both sponsor/developers and debt/equity providers allows us to provide practical advice for our clients and a sound basis for negotiating and concluding a deal. Our experience in raising successful financing is based on developing risk allocations that strike a balance between the interests of the project entity and its shareholders' returns and those of the lenders.

Specifically, we work on major infrastructure project financings, mergers and acquisitions, securitizations, fund formations, asset financings, regulatory matters and related arbitration and litigation proceedings. We have a proven track record of working collaboratively with all parties involved in a transaction to manage and advise on issues in the best interest of our clients, including hedging, inter-creditor issues, subordination issues, security sharing, accounts agreement/cash-cascade, insurance, Export-Credit Agencies (ECAs) and Multilateral Developments Institutions (MDIs). We also help to navigate the complex and changing tax incentives and penalties that accompany infrastructure investment and planning.

Our team has extensive experience in public–private partnerships (PPP or P3). They assist governments/municipalities, public agencies and private clients in procurement, contract structuring, financing and in the preparation and negotiations of design-build contracts on large infrastructure projects, involving bidders from the US, Central America, Europe, Middle East, Africa and Asia.

In addition, our infrastructure practitioners draw on the firm's vast experience in structured finance and insurance including aviation and energy, as well as other related services in the infrastructure sector.
