Elizabeth Sloan concentrates her practice in corporate and commercial litigation, counseling clients in the following areas:
· breach of fiduciary duties
· shareholder disputes
· corporate governance claims
· valuation
· business and contract disputes
Ms. Sloan regularly represents clients in both state and federal courts, principally focusing her practice in the Delaware Court of Chancery and the District Court for the District of Delaware. She has also handled appeals to the Delaware Supreme Court.
In addition to her work on corporate and commercial matters, Ms. Sloan has also practiced in bankruptcy courts in a variety of litigation matters.
Prior to joining Blank Rome, Ms. Sloan served as a law clerk for the Honorable Fred Silverman of the Superior Court of Delaware. She was also an extern for the Honorable Faith Angel, Magistrate for the District Court for the Eastern District of Pennsylvania.
Representative Matters
· Represented a chemical company on appeal to the Supreme Court of Delaware, relating to misappropriation of trade secrets, breaches of fiduciary duties and tortious interference with business relations.
· Represented an e-commerce company suing a broker-dealer firm for breach of fiduciary duties, breach of contract, violations of the Securities Exchange Act and negligent misrepresentation, in a dispute before the FINRA Arbitration Panel.
· Defended a clean technology limited partnership and its members against a preliminary injunction and an action for removal of a managing member.
· Defended a Chinese intellectual property company against appointment of a receiver.
· Represented a chemical company in a CERCLA action, which included substantial claims of spoliation of evidence.
· Represented subcontractor in breach of contract action, related to an $870 million dollar project.
Community Service & Affiliations
Ms. Sloan was a volunteer for Villanova University School of Law's Lawyering Together and Homeless Advocacy Project. She also served as a volunteer and supervisor for the Girls Scouts of America.
